These Terms of Service (the “Terms”) govern your access to and use of Oriio, including our website, iOS app, and any related apps, features, services, or support channels that link to these Terms (collectively, the “Service”). The Service is provided by PtahX Inc. (“Oriio,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using Oriio, you agree to these Terms. If you do not agree, do not use the Service.

1. Service overview
Oriio is a productivity and planning assistant that may help you view, organize, search, create, edit, complete, delete, or reschedule calendar events, reminders, alarms, tasks, files, notes, AI conversations, and related planning items. Oriio may include AI-assisted features, file upload, audio transcription, image understanding, location or weather-aware planning, widgets, Live Activities, AlarmKit, notifications, and other Apple platform features where available.
Some features may be in beta, limited release, available only on certain devices or operating system versions, or unavailable in certain countries, regions, languages, or storefronts.
Oriio is not offered in mainland China. You may not use Oriio from any country or region where the Service is not made available by us or where use of the Service would be prohibited by applicable law.
2. Eligibility
You must be at least 16 years old to use Oriio, or older if the law where you live requires a higher age. If you are under the age of majority where you live, you may use Oriio only with permission from a parent or legal guardian.
By using Oriio, you represent that you meet these eligibility requirements and that you are legally able to agree to these Terms.
3. Your account
You may need an account to use certain features. Oriio may use Sign in with Apple or other account-related services where available. You agree to provide accurate information, keep your account secure, and notify us promptly if you believe your account has been compromised.
You are responsible for activity that occurs through your account, device, Apple account, credentials, or authorized sessions, except to the extent caused by our breach of these Terms or applicable law.
You may delete your Oriio account through the app or by contacting us at support@ptahx.ai. Deleting your Oriio account may not delete information stored locally on your device, in iCloud, in Apple Calendar, in Apple Reminders, in widgets or device surfaces, or with Apple’s App Store services. You may need to manage those records separately through Apple or your device settings.
Deleting your Oriio account may not cancel an active App Store subscription. You may need to manage or cancel subscriptions through your Apple account or App Store settings.
4. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect information when you use Oriio. By using the Service, you acknowledge that we process information as described in the Privacy Policy.
5. Permissions and Apple platform services
Oriio may ask you to grant permissions to Apple Calendar, Apple Reminders, Notifications, Location, Microphone, Speech, iCloud, WeatherKit, Siri, Shortcuts, widgets, Live Activities, AlarmKit, files, or other device or Apple platform services.
When you grant a permission, you authorize Oriio to access, process, and use the relevant information to provide the features you choose. You can revoke permissions through your device settings, but doing so may limit or disable related features.
Your use of Apple services, Apple devices, Apple accounts, iCloud, Apple Calendar, Apple Reminders, App Store subscriptions, WeatherKit, APNs, Siri, Shortcuts, widgets, Live Activities, AlarmKit, and related Apple platform features may also be subject to Apple’s terms, policies, and settings.
6. Calendar and Reminders
When you grant Oriio access to Apple Calendar or Apple Reminders, you authorize Oriio to access and use the relevant information to provide the features you choose, including displaying, organizing, searching, creating, editing, completing, deleting, or rescheduling events and reminders.
Oriio may suggest, prepare, or assist with creating, editing, completing, deleting, or rescheduling calendar events, reminders, alarms, tasks, or planning items. Some actions may be applied through app-authorized workflows and may support previews, undo, history, or other safeguards where available. Not every change can be undone.
You are responsible for reviewing important changes, checking dates and times, verifying recurrence settings, and using available undo or correction tools promptly.
Changes to recurring events, shared calendars, alarms, invitees, reminders, widgets, Live Activities, or notifications may affect multiple items, other people, or information shown on your device, including on the lock screen or other visible surfaces. Please review important changes carefully.
7. AI features
Oriio provides AI-assisted productivity features. AI features may be provided by Oriio through OpenAI and other AI providers. By using AI features, you authorize Oriio to send information needed to provide those features to Oriio servers, OpenAI, and other AI providers.
This information may include prompts, messages, selected calendar or reminder context, conversation history, files, audio, transcriptions, images, location or weather context, device or account metadata, tool calls, tool results, and related technical information.
We do not allow OpenAI or other AI providers to use Oriio API inputs or outputs to train their foundation models.
AI outputs may be inaccurate, incomplete, outdated, offensive, biased, or unsuitable for your circumstances. Oriio does not guarantee that AI outputs are correct, complete, safe, available, or appropriate for any particular purpose. You are responsible for reviewing AI outputs and any suggested or applied actions before relying on them.
8. AI-assisted actions and tool use
Oriio may use AI-assisted tools or workflows to help you plan, summarize, search, organize, create, edit, complete, delete, reschedule, transcribe, understand files or images, or otherwise interact with information you provide or authorize.
AI-assisted actions may depend on your permissions, device settings, Apple services, network availability, third-party services, and the information available to the Service at the time. AI-assisted actions may be incomplete, delayed, unavailable, or incorrect.
You should independently verify important deadlines, events, reminders, alarms, travel plans, health-related plans, professional obligations, and other time-sensitive or high-impact matters.
9. Files, audio, images, and feedback
If you upload files, submit feedback, attach screenshots, use audio transcription, use image understanding, or contact support, you represent that you have the right to provide that content to Oriio and that doing so does not violate any law, contract, confidentiality obligation, privacy right, intellectual property right, or other third-party right.
Do not submit files, audio, images, screenshots, feedback, or support messages that you are not authorized to share or that you do not want processed by Oriio, OpenAI, other AI providers, Apple services, or our service providers.
If you record or upload audio involving other people, you are responsible for obtaining any consent required by applicable law.
10. Your content
“Your Content” means content you submit, upload, provide, authorize, or make available to Oriio, including prompts, calendar or reminder context, files, audio, images, feedback, support messages, and other materials.
You retain your rights in Your Content. You grant Oriio a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, modify, create technical derivatives of, and use Your Content as reasonably necessary to provide, secure, maintain, support, troubleshoot, and improve the Service and the features you choose.
This license includes the right to process Your Content through Oriio servers, OpenAI, other AI providers, Apple services, and other service providers as described in these Terms and our Privacy Policy.
We do not use your private planning content, calendar events, reminders, files, or AI conversations for advertising or cross-context behavioral advertising.
11. AI outputs
Subject to applicable law and these Terms, you may use outputs generated for you by Oriio for personal or internal business productivity purposes.
AI outputs may not be unique. Similar or identical outputs may be generated for other users. Oriio does not represent that AI outputs are accurate, complete, suitable for your circumstances, or free from third-party rights claims.
You are responsible for evaluating whether any AI output is appropriate for your intended use.
12. Feedback
If you send us feedback, suggestions, ideas, bug reports, screenshots, or other comments about Oriio, you grant us the right to use them to improve, develop, operate, support, and troubleshoot Oriio without obligation to compensate you. We may use feedback, suggestions, ideas, or comments for marketing, but we will not use screenshots, support attachments, private planning content, calendar events, reminders, files, or AI conversations for marketing without additional permission. This does not limit any privacy rights you may have under applicable law.
13. Subscriptions, purchases, and billing
Oriio may offer subscriptions, credits, trials, or other paid features through Apple’s App Store services or other payment mechanisms we make available.
If you purchase through Apple, your purchase is processed by Apple and is subject to Apple’s terms, payment rules, cancellation processes, refund policies, and App Store settings. Subscriptions may automatically renew unless you cancel through your Apple account or App Store settings before the renewal date. Deleting the Oriio app or deleting your Oriio account may not cancel an active subscription.
Prices, taxes, features, trial eligibility, renewal terms, and availability may vary by country, region, storefront, device, account, or time. We may change paid features or pricing to the extent permitted by applicable law and platform rules.
14. Acceptable use
You agree not to misuse Oriio or help anyone else misuse Oriio. For example, you may not:
- violate any applicable law, regulation, contract, intellectual property right, privacy right, or third-party right;
- use Oriio from a country or region where we do not make it available or where use is prohibited by law;
- use Oriio to create, upload, transmit, or store unlawful, harmful, abusive, defamatory, invasive, infringing, or otherwise objectionable content;
- attempt to reverse engineer, scrape, crawl, copy, modify, or create derivative works of Oriio except to the extent permitted by law;
- interfere with, disrupt, overload, or compromise Oriio, our systems, service providers, AI providers, Apple services, or other users;
- attempt to bypass security, abuse-prevention, rate-limit, payment, permission, or access controls;
- use Oriio to develop competing models or services in a way that violates these Terms or applicable law;
- submit malicious files, prompts, tool instructions, code, or content intended to compromise systems, exfiltrate data, or bypass safeguards;
- use Oriio for surveillance, unlawful profiling, harassment, spam, or unauthorized tracking; or
- use Oriio in a way that could damage, disable, impair, or overburden the Service.
15. No high-risk use
Oriio is not designed for emergency, medical, legal, financial, employment, safety-critical, or other high-risk decisions. Do not rely on Oriio as your sole source for professional advice, emergency alerts, legal or financial deadlines, safety-critical scheduling, health-related decisions, travel-critical timing, or other high-impact decisions.
Oriio is a productivity tool. You are responsible for maintaining appropriate backups and independently verifying important events, reminders, alarms, deadlines, outputs, and actions.
16. Third-party services
Oriio relies on third-party services to operate certain features, including Apple platform services, cloud infrastructure, payment processing, analytics, diagnostics, customer support, OpenAI, other AI providers, and other service providers.
Your use of those features may also be subject to third-party terms, privacy practices, service availability, rate limits, and technical restrictions. We are not responsible for third-party services except to the extent required by applicable law.
17. Service availability and changes
Oriio may change, suspend, limit, or discontinue any part of the Service at any time, subject to applicable law. We may add, remove, or modify features, platform support, AI models, AI providers, subscriptions, credits, usage limits, or availability.
The Service may depend on network availability, device settings, Apple services, AI providers, cloud providers, permissions, operating system versions, and other factors outside our control. We do not guarantee that the Service will be uninterrupted, error-free, timely, secure, or available in every location, device, language, or configuration.
18. Intellectual property
Oriio and its software, design, features, interface, trademarks, logos, content, and technology are owned by PtahX Inc. or its licensors and are protected by intellectual property and other laws.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use Oriio for your personal or internal business productivity purposes.
Except for the rights expressly granted in these Terms, we and our licensors reserve all rights in Oriio.
19. Termination
You may stop using Oriio at any time. You may delete your account through the app or by contacting us.
We may suspend or terminate your access to Oriio if we reasonably believe that you have violated these Terms, created risk or legal exposure for us or others, misused the Service, failed to pay amounts owed, or if we are required to do so by law or platform rules.
After termination or account deletion, certain provisions of these Terms will survive, including provisions related to intellectual property, Your Content licenses where reasonably necessary, AI outputs, feedback, disclaimers, limitations of liability, dispute resolution, and any other provisions that by their nature should survive.
20. Disclaimers
To the maximum extent permitted by applicable law, Oriio is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, and security, to the extent permitted by law.
We do not guarantee that schedules, reminders, notifications, alarms, AI outputs, transcriptions, file analyses, image analyses, weather context, synced information, widgets, Live Activities, or other information will always be accurate, complete, timely, secure, or available.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
21. Limitation of liability
To the maximum extent permitted by applicable law, PtahX Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, lost goodwill, business interruption, device failure, scheduling errors, missed deadlines, missed events, inaccurate AI outputs, or other intangible losses, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Oriio for the Service during the 12 months before the event giving rise to the claim; or (b) US$100.
Nothing in these Terms excludes or limits liability to the extent it cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, fraudulent misrepresentation, death or personal injury where such limitation is prohibited, or non-waivable consumer, privacy, or data protection rights.
22. Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PtahX Inc. and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: (a) your use or misuse of Oriio; (b) Your Content; (c) your violation of these Terms; (d) your violation of law or third-party rights; or (e) your use of Oriio in a high-risk or prohibited context.
This section does not apply to the extent prohibited by applicable consumer law.
23. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by applicable law, which may include updating the date above, providing in-app notice, or using another reasonable method.
Your continued use of Oriio after updated Terms become effective means you agree to the updated Terms, to the extent permitted by law. If you do not agree to the updated Terms, you must stop using the Service.
24. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except to the extent the laws of another jurisdiction apply due to non-waivable consumer protection, privacy, or data protection rights.
Subject to any non-waivable rights you may have under the laws of your place of residence, you and Oriio agree that any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Nothing in these Terms limits any non-waivable rights you may have under the laws of your place of residence.
25. Apple App Store terms
If you downloaded Oriio from Apple’s App Store or use Oriio on an Apple device, the following additional terms apply:
- These Terms are between you and PtahX Inc., not Apple.
- Apple is not responsible for Oriio or its content.
- Apple has no obligation to provide maintenance or support for Oriio.
- To the extent any warranty exists under applicable law that cannot be disclaimed, Apple may be responsible only for any refund of the purchase price required by Apple’s applicable rules, and Apple will have no other warranty obligation with respect to Oriio.
- Apple is not responsible for addressing claims relating to Oriio or your possession or use of Oriio, including product liability claims, legal compliance claims, consumer protection claims, or intellectual property claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as third-party beneficiaries.
Your use of Oriio must also comply with the App Store terms of service and any other applicable Apple terms and policies.
26. Miscellaneous
These Terms, together with any terms incorporated by reference, are the entire agreement between you and PtahX Inc. regarding Oriio and supersede any prior agreements about the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or operation of law.
Our failure to enforce a provision is not a waiver of our right to do so later.
